One of those lessons and tips of the trade when reviewing Healthcare IT Contracts is to look at the place it will be interpreted. Commonly vendor contracts have the state court of the vendor's incorporation. If the contract ever needs to go to litigation, it will be expensive to travel and litigate. So change the location of jurisdiction to your home state.
